Terms of Service

Welcome to BuildAngel.ai, a SaaS cloud platform (“Platform”) operated by BuildAngel.ai, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using our Platform, you (“User,” “you”) agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

These Terms form a legally binding agreement and govern your use of the Platform, including related services, features, and any future updates.

1. Eligibility

  • You must be at least 18 years old to use the Platform.
     

  • By using the Platform, you represent that you have the authority to bind any entity (e.g., a General Contractor, Subcontractor, or homeowner) on whose behalf you are using the Platform.
     

 

2. Services Provided

The Platform provides:

  1. AI Analysis Tools – upload PDF home plans or use the Dream Home Wizard to generate automated cost estimates.
     

  2. Marketplace – connect Homeowners, General Contractors (“GCs”), and Subcontractors (“Subs”) for bids and work opportunities.
     

  3. Communication Tools – tools for messaging, file sharing, and contract/bid management.
     

We do not build homes, perform contracting work, or guarantee project outcomes. The Platform is an intermediary and marketplace only.

 

3. User Roles

  • Homeowners may upload plans, request cost estimates, and solicit bids.
     

  • General Contractors may review projects, submit proposals, and manage subcontractors.
     

  • Subcontractors may bid on jobs and contract directly with General Contractors.
     

All agreements for work are strictly between the contracting parties. BuildAngel.ai is not a party to any construction contract.

 

4. Fees & Payments

  1. Referral Fees
     

    • BuildAngel.ai earns referral fees for work arranged through the Platform.
       

    • GCs and Subs agree to pay referral fees on awarded projects and/or completed work, as outlined in our then-current Fee Schedule.
       

  2. Payment Processing
     

    • We may integrate with third-party payment providers (e.g., Stripe). By using the Platform, you agree to their terms.
       

    • Fees are automatically deducted from payments made through the Platform or invoiced directly if off-platform.
       

  3. Non-Circumvention
     

    • Users agree not to bypass the Platform by engaging in direct business with other Users introduced via BuildAngel.ai, unless referral fees have been paid.
       

  4. Taxes
     

    • Each User is responsible for determining and paying any applicable sales tax, income tax, or other regulatory fees. BuildAngel.ai does not withhold taxes for Users.
       

 

5. User Responsibilities

  • Accuracy of Information: You agree to provide truthful and accurate information in profiles, bids, and communications.
     

  • Compliance: You must comply with all applicable building codes, licensing laws, and consumer protection regulations.
     

  • Insurance & Licensing: Contractors and subcontractors represent that they are properly licensed, bonded, and insured as required by local law.
     

 

6. Intellectual Property

  • All content, software, and tools on the Platform are owned by BuildAngel.ai.
     

  • You grant us a non-exclusive license to use your uploaded content (plans, descriptions, bids) solely to operate the Platform.
     

  • AI-generated estimates are provided “as-is” without guarantee of accuracy.
     

 

7. Disclaimers

  • The Platform is a marketplace and estimation tool only.
     

  • We do not endorse or guarantee any contractor, subcontractor, estimate, or completed work.
     

  • All estimates are for informational purposes only and should not replace professional advice.
     

 

8. Limitation of Liability

To the maximum extent permitted by law:

  • BuildAngel.ai is not liable for disputes, damages, delays, construction defects, or injuries resulting from work arranged via the Platform.
     

  • Our total liability in any claim shall not exceed the amount of fees you paid to us in the prior month.
     

 

9. Indemnification

You agree to indemnify and hold harmless BuildAngel.ai, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

  • Your use of the Platform,
     

  • Your construction work, or
     

  • Your breach of these Terms.
     

 

10. Termination

We may suspend or terminate access if:

  • You violate these Terms,
     

  • You fail to pay fees, or
     

  • You misuse the Platform.
     

You may stop using the Platform at any time, but outstanding fees remain payable.

 

11. Governing Law & Disputes

  • These Terms are governed by the laws of the State of Delaware.
     

  • Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA).
     

  • Class actions and jury trials are waived.
     

 

12. Privacy & Data

  • Use of the Platform is also governed by our Privacy Policy.
     

  • We collect and process personal data in accordance with applicable laws, including U.S. state privacy regulations.
     

 

13. Changes to Terms

We may update these Terms from time to time. Updates are effective upon posting. Continued use of the Platform means you accept the changes.
